Dear Registered Student at Witch School
I am writing to you today because, as a Witch School Lifetime Member, you have made a form of investment in the future of our school when you purchased that Lifetime Membership. As you most likely know Witch School has been acquired by an Alliance of students and teachers in the form of Witch School International, Inc., or WSI. WSI has been set up as a Delaware based Corporation, with registered offices in Illinois. I therefore feel it appropriate to offer you the chance to make another kind of investment, and hope that you will consider doing so.
As a Lifetime Member, we honor the commitment that you have made to join us, and affirm that Lifetime Memberships will continue to be honored. Your Lifetime Membership represents a investment in your personal education that will pay off by giving you access to the ever-growing Witch School Site and it's community. Without you Witch School in it's sixth year of operation would never have come so far. Nothing will change your honored status as a lifetime member. You are part of our success.
Many of our Lifetime Members have asked how they can get involved further with the school. By having established WSI, we are now able to sell shares through private offerings such as this, so that more people will have the chance to become involved in actually owning the school. This has been a dramatic shift in how Witch School and Pagan businesses operate, and we are very proud of the fact that we can share ownership with many people who have honored and respected us through out the years. As a Lifetime Member you have a definite interest in seeing Witch School grow and continue, and as some one with a strong interest, we can offer you the opportunity to buy shares if you so desire.
Shares represent a voice, and we are asking to be allowed to issue a total of ten million shares, though we do not necessarily plan to use all of them. But this allows us a high cap, so individuals who want to open their own licensed campuses, can easily become registered by Witch School International, Inc.
This will allow us to control and assure that Witch School reflects an open policy and our personal attitude towards Wiccan and Pagan Based Education. As you may know, accessibility of education has always been of extreme importance to us.
WSI is an entirely NEW COMPANY. WSI acquired the assets of the former company called Witch School. Now those assets are comprehensive. We are currently in our first round of requesting financing, and are looking for investors. You are receiving this letter because, having already purchased a Lifetime Membership we feel it is likely that you might be interested in investing in the school.
During this first round the price will be 25 cents a share, plus a five dollar service charge. There will be no minimum, but there is a maximum of 1 million shares total sold in this first round.
Share holders will receive quarterly reports, and will have a vote for every share they own at the Annual Meeting. Once this first round is completed we will be holding our first meeting and all shareholders will then vote. My Plan is to remain CEO and Head of Content. Debbe Tompkins, longtime editor of the Daily Spell, will act as President.
We will provide those seriously interested with a purchase agreement that you can be shown to your lawyers and others. If you are interested, simply email me at DonLewisHP@aol.com and I will send it to you.
This MUST be above board and fully legal as we will be under very deep scrutiny. As really the first public share company dedicated to Pagan/Magical Education we will face all the discrimination you can imagine, from within as well as without.
Please note that shares may be purchased for oneself, as a gift for another, or for a legally incorporated Temple or other organization.
I want to establish legal operations and licensed Witch School Sites and Campuses as soon as possible. These will in essence be specialized versions of the larger school. My intention is that each licensed site will be able to have its own portal, charge memberships and have all the tools needed to control their own version of Witch School. We own the software. This is the core of our company and allows us to dramatically expand the idea of Witch School beyond just ourselves and expand upon what it has already done.
In exchange for licensing and hosting these sites, WSI will receive a portion of the membership fee. Every Licensed sub-school will focus on teaching, building content, and selling memberships and will never need to worry about the software and tech support they need as we will handle that. THEY ALL WILL SHARE TRANSCRIPTS through our transcript protocol services. We will be the central holder of shared transcripts.
The Grey School of Wizardry is the first fully independent school to approach us about our transfer service. Though exact details are still in discussion, this means that Grey School will be able to accept Witch School Transcripts and Witch School will be able to accept Grey School transcripts. To assure they are uniform, WSI (us) will maintain a database of all transferred transcripts. We anticipate that for profit and not for profit schools of Magic will also join our transcript services.
I envision opening Witch School UK, Witch School EU, Witch School Africa, Witch School AU, and Witch School Espanol, as quickly as possible. These will be company based schools in which we have our own people operate, and receive an income. A lot of this initial share money will be used to create new interfaces and legally establish in each of these countries or regions.
The other thing we want to do is to establish a new physical Headquarters. We have the opportunity to do this in a friendly tourist town which has approached us. We are keeping quiet about the location until it is a done deal, but the building being considered is priced at $30,000 with $600 annual taxes. It is a very large, beautiful and very well kept building in a friendly town which values the potential tourist trade we bring. This town has been watching our events in Hoopeston, and the amount of business generated by them, and is not only receptive to our potential presence, but anxious for the opportunity of becoming "Salem of the Midwest". This has been privately negotiated, and we don't want to put much news out or publish the location until the deal is completed. A new HQ will allow us to continue to build and expand Witch School events, products and shipping.
My overall goal is to build Witch School into what is called a Penny Stock company. This cannot be done overnight, but can be built up to. I want to create a new and ever more accessible way to teach and also to create real jobs. We need an income and a living, and this will allow us to develop a major media company that promotes our faith in multiple ways, and allows us to live this Wiccan life we share. As a for profit company, we can achieve these goals more easily, and this format allows us to invest in the community without the restrictions and headaches incumbent upon a 501c3. It is my intention to streamline the administration processes and free us up to really teach.
For anyone who hasn't heard, Llewellyn will be publishing our four core books. We will soon be able to use Lewellyn books for text books as well, and each site will be able to sell our Llewellyn published manuals. This is a tremendous step forward for the school. In addition, those who have non-English language versions of the four core books will be able to work with Llewellyn to have them published as well. I see no reason why we can't have manuals in a dozen languages with a two year cycle, with sites that match.
With the Daily Spell we will be able to finally buy the server we need to be able to efficiently send the Daily Spell to every Witch School Student, as well as every Grey School Student or any other site that wants to offer it. Within a very few weeks, the Daily Spell will go from a 6,000 reader Daily to around 150,000 daily readership. All that has limited us from accomplishing this is that it required a special server and owning our own T1 line. This is now our next immediate step: the T1 question has been answered and I am looking at this expansion in as little as three weeks of us taking over the school. This will boost both the influence of the Daily Spell, and its potential advertising revenue dramatically.
At this time I am accepting purchasers of shares in this initial round of up to 1 million shares, at .25 cents per share. A five dollar processing fee, and you will receive a stock certificate verifying your ownership. You will receive quarterly reports, and a share of the profits. It also allows the potential for extra income for all of us, if we can continue to make Witch School accessible, public and profitable.
