Ohio: Alumni Group to Buy College

Antioch University agreed to transfer the campus of the financially struggling Antioch College to an alumni group that plans to turn it into an independent school. But any reopening of Antioch College is at least two years away and hinges on a list of conditions. The university temporarily closed the college in Yellow Springs a year ago because of financial problems caused by declining enrollment, a heavy dependence on tuition and a small endowment. The college was the flagship of Antioch University, which also has campuses in Seattle, Los Angeles, Santa Barbara, Calif., and Keene, N.H. The alumni group has agreed to pay the university $6 million for the campus, located about 15 miles east of Dayton, and the college’s endowment. The transfer of assets cannot occur until a list of conditions have been met, including approval from the Ohio Attorney General’s Office and university bond holders.

The appellants, a group of tenured Antioch College professors, appeal from the trial court’s judgment entry dismissing their amended complaint against appellee Antioch University pursuant to Civ.R. 12(B)(1) and Civ.R. 12(B)(6).

The appellants advance three assignments of error. First, they contend the trial court erred in finding, as a matter of law, that the relief they sought required judicial intervention in the management and operation of Antioch College. Second, they claim the trial court erred in finding, as a matter of law, that a “Faculty Personnel Policies and Procedures” manual constituted a personal-service contract. Third, they assert that the trial court erred in finding, as a matter of law, that they had an adequate remedy in the form of money damages for the breach of contract alleged in their amended complaint.

The time is drawing near for an agreement to be reached regarding the future of Antioch College. A task force comprised of representatives from both the University and Antioch College Alumni have been negotiating since January. Art Zucker, Chair of the Antioch University Board of Governors, says a long list of issues has been resolved.

“I think the definitive agreement, which is the legal document defining this transfer of assets, is very close to be agreed upon. THere are two to three points that still need some negotiation, but it’s very likely that these will be resolved,” says Zucker.

Some of the remaining points of negotiation include details about the business and curriculum plan, and legal issues regarding the transfer of endowments from the University to the new entity.

“It’s really a financial matter. No matter how we cut it, no matter what agreements are, it all comes down to the ability to fund it,” says Zucker.

The task force has set June 30th as a final deadline for an agreement.

On May 12, 2009, the Court of Appeals of Ohio, Second Appellate District, heard an appeal on behalf of the members of the former faculty of Antioch College regarding reinstatement of their recently dismissed lawsuit against Antioch University.

In 2007 members of the former faculty of Antioch College filed a lawsuit alleging that Antioch University violated the Antioch “College Faculty Personnel Policies”. According to this contractual document, the University is mandated to seek “less drastic means” to closure through “consultation” with the College’s Administrative Council, AdCil. Specifically, the University is required to work with AdCil to development “a plan and timetable for abating financial emergency” or closure. The faculty lawsuit alleges that Antioch University officers refused to meet with AdCil to develop this plan or explore less drastic means.

A ruling on the appeal is expected sometime within the next 12 weeks.
